We reserve the right, at our sole discretion, to suspend or terminate your access to this Site at any time and without prior notice, if we reasonably believe you have violated these Terms, engaged in conduct harmful to other users, third parties, or ASJ IT Solutions, or for any other legitimate business reason.

Termination does not affect any rights or obligations that accrued prior to termination. Sections 5 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), 13 (Governing Law), 14 (Severability), and 15 (Waiver) shall survive termination.

13. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

In the event of any dispute arising out of or relating to these Terms or your use of this Site, the parties agree to first attempt resolution through good-faith negotiation. If the dispute is not resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Lucena City, Calabarzon, Philippines.

Important note for EU and UK users: The choice of Philippine law does not deprive EU or UK consumers of the protection afforded by the mandatory rules of consumer law in their country of residence. EU consumers may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Severability

If any provision of these Terms is held by a court or other competent authority to be invalid, illegal, or unenforceable in whole or in part, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be severed from these Terms. Any modification or severance of a provision shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.

15. Waiver

No failure or delay by ASJ IT Solutions in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further or other exercise of that right or remedy. A waiver is only effective if it is in writing and signed by an authorised representative of ASJ IT Solutions.
